The specific scope, deliverables, timeline, and cost of each project are defined individually based on client requirements.
2. Quotes and Agreements
Submitting a request through our contact form does not constitute a binding agreement. A project begins only after both parties agree on scope, deliverables, timeline, and pricing in writing (via email or a signed agreement). We reserve the right to decline any project at our discretion.
3. Project Scope and Timelines
- Timelines are estimated based on project complexity and are communicated before work begins.
- Projects requiring literature sourcing, archive research, or expert verification may take significantly longer than standard data collection tasks.
- We will notify you promptly if timelines need to be adjusted due to unforeseen complexity.
- Interim deliveries may be arranged for large or long-running projects, subject to mutual agreement.
4. Pricing and Payment
- All pricing is project-based and provided as a detailed quote after reviewing your requirements.
- Payment terms, including schedule and method, are agreed upon before project commencement.
- For projects with interim deliveries, payment may be structured in milestones.
- All prices are exclusive of applicable taxes unless stated otherwise.
5. Client Responsibilities
You agree to:
- Provide accurate and complete information about your data requirements.
- Respond to clarification requests in a timely manner to avoid project delays.
- Use delivered datasets in compliance with applicable laws and regulations.
- Not use our services for any unlawful purpose or to collect data that violates third-party rights.
6. Intellectual Property
- Upon full payment, you receive ownership of the delivered dataset as specified in the project agreement.
- We retain the right to use general methodologies, tools, and non-proprietary techniques developed during the project.
- We do not claim ownership of your proprietary data or specifications provided to us.
- Any pre-existing intellectual property remains with its respective owner.
7. Confidentiality
We treat all project details and client information as confidential. A formal Non-Disclosure Agreement (NDA) is available upon request and can be executed before any project details are shared. Confidentiality obligations survive the termination of any project agreement.
8. Data Accuracy and Warranties
- We strive for the highest possible data accuracy and will communicate expected accuracy rates before project start.
- Datasets are delivered "as described" in the project scope. We do not guarantee fitness for a particular purpose beyond the agreed specifications.
- If delivered data does not meet the agreed accuracy standards, we will make reasonable efforts to correct it at no additional cost.
9. Limitation of Liability
To the maximum extent permitted by law, our total liability for any claim arising from or related to the Service shall not exceed the amount paid by you for the specific project giving rise to the claim. We shall not be liable for any indirect, incidental, consequential, or punitive damages.
10. Cancellation and Refunds
- You may cancel a project at any time by providing written notice.
- In case of cancellation, you are responsible for payment of work completed up to the cancellation date.
- Any data collected and processed prior to cancellation will be delivered to you.
- Refunds for prepaid amounts are calculated based on work completed and expenses incurred.
11. Force Majeure
Neither party shall be liable for delays or failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, government actions, internet outages, or third-party service failures.
12. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of the Service after changes constitutes acceptance of the revised Terms. For active projects, the Terms in effect at the time of agreement shall apply.
13. Governing Law
These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation first, and if necessary, through binding arbitration or the courts of competent jurisdiction.
